1. PREAMBLE<\/strong>
1.1 Purpose<\/strong>
These general terms and conditions set out the terms governing the distribution of Avast, AVG, Norton and CCleaner licences via our website AntivirusEdition.com (hereinafter the \u00abwebsite\u00bb) to resellers. The Avast, Norton, AVG and CCleaner software programmes are published by GEN DIGITAL (hereinafter \u00abthe publisher\u00bb). Any internet user may view the general terms and conditions of sale at www.AntivirusEdition.com. As the general terms and conditions are subject to change, the applicable terms are those in force on the website on the date each order is placed. These general terms and conditions apply exclusively between EU4CMS SARL, the publisher of the AntivirusEdition.com website (hereinafter \u00abwe\u00bb), and the reseller.
1.1 Definitions
AntivirusEdition.com: refers to the company that operates the digital distribution platform for software licences, registered in France.
Reseller: any legal or natural person acting in a professional capacity, registered on the website for the purpose of reselling the software on offer.
Software: refers to the antivirus solutions and utilities distributed via the platform, including Avast, Norton, AVG and CCleaner.
Parties: means AntivirusEdition.com and the Reseller collectively.<\/p>

2. TERMS AND CONDITIONS FOR REGISTRATION WITH THE RESELLER PROGRAMME<\/strong>
2.1 Terms and conditions of access<\/strong>
Access to the programme is restricted to IT service providers or professionals in the IT sector who are registered in the commercial register, as well as to sole traders carrying out activities related to IT and cybersecurity.<\/p>

2.2 Validation<\/strong>
Registration is confirmed once you have completed\u2019an online form<\/a> and verification of the information provided by AntivirusEdition.com. The company reserves the right to refuse an account without giving a reason.<\/p>

3. ORDERING AND DELIVERY TERMS<\/strong>
3.1 Order<\/strong>
All orders placed by resellers on behalf of their customers must be made online via the AntivirusEdition.com website. A dedicated interface is made available to resellers once their reseller account application has been approved. This interface allows them to create customer accounts, place licence orders and track the progress of order processing.
The retailer is solely responsible for the content of orders placed on behalf of its customers.<\/p>

3.2 Delivery<\/strong>
Licences are sent by email once payment has been received in full. No CD-ROMs or boxed software are sent by post. All software ordered can be downloaded from the website by logging into your reseller account.<\/p>

3.3 Right of withdrawal<\/strong>
Given the intangible nature of the service, the performance of which began with the reseller\u2019s consent before the end of the withdrawal period, the reseller acknowledges and accepts that they cannot exercise the right of withdrawal within 14 clear days of delivery of the services\/products provided under the distance selling arrangements. The purchase of a licence number is therefore final and binding and shall not give rise to any exchange or refund.<\/p>

4. PRICING TERMS, DISCOUNTS AND PAYMENT<\/strong>
4.1 Rates<\/strong>
The prices shown are in euros, excluding VAT. The applicable VAT rate is specified at the time of ordering. The prices listed on the website are the official retail prices provided by GEN DIGITAL, and are valid at the time of ordering.
For all requests to process VAT-exempt orders, proof of authorisation for VAT-exempt purchases will be required. Our intra-Community VAT number is FR77444800247.
The prices shown on the AntivirusEdition.com website are subject to change in the event of a change to the publisher\u2019s pricing policy. In such cases, the new prices will be updated on the website within 7 working days. The special offers available on the website cannot be combined with the discounts granted to resellers. In the case of a special promotion aimed at resellers, the discounts are applied when orders are placed via the reseller account.<\/p>

4.2 Payment<\/strong>
The following payment methods are accepted: bank transfer, cheque, credit\/debit card and PayPal. In exceptional cases, we may offer our customers end-of-month payment via SEPA direct debit. This payment method is available only to resellers generating more than 10,000 euros in annual turnover on AntivirusEdition.com.
To pay by SEPA direct debit, you must provide us with your up-to-date bank details and a direct debit authorisation. Once your application has been approved, your orders will be dispatched immediately after you have confirmed them, and the total amount for your orders that month will be debited automatically from your bank account between the 8th and the 10th of the following month.
EU4CMS reserves the right to suspend end-of-month payments at any time if the reseller has failed to meet their obligations and a direct debit has been blocked.<\/p>

4.3 Discounts<\/strong>
Your reseller discount is 25%. Payment for reseller orders is made at a discounted rate of -25% on the pre-tax retail prices.<\/p>

4.4 Invoicing<\/strong>
An electronic invoice is automatically issued and made available in your customer account once payment has been confirmed.<\/p>

4.5 Late payment<\/strong>
In exceptional circumstances, we may grant payment terms of 30 days from the date the order is confirmed by the reseller. Any delay in payment will result in late payment penalties in accordance with the LME Act (Articles L441-10 et seq. of the Commercial Code).
Any invoice that is 10 days or more overdue is referred to our debt collection department.<\/p>

5. THE RESELLER\u2019S OBLIGATIONS<\/strong>
5.1 Compliance<\/strong>
The Reseller undertakes not to modify or alter the information supplied with the software, to respect the Avast, Norton, CCleaner and AVG brands, and not to mislead end customers.<\/p>

5.2 Brand image<\/strong>
Under no circumstances must the reseller damage the image or reputation of the brands on offer (Avast, Norton, AVG and CCleaner) or that of AntivirusEdition.com<\/p>

5.3 Technical assistance<\/strong>
The reseller is required to provide direct support for products ordered by their customers. However, the reseller may access Level 2 support from our technical team via the AntivirusEdition.com website should specific requirements arise.<\/p>

6. LIABILITY AND WARRANTIES<\/strong>
6.1 Liability<\/strong>
AntivirusEdition.com shall not be held liable for any consequential damages or commercial losses arising from the misuse of the software or from competition between different resellers or distribution channels for the software on offer.
We cannot guarantee that software from the Avast, Norton, CCleaner or AVG ranges will always be available and fully functional in the long term, as their development and maintenance are the responsibility of the respective software publishers.
You must ensure your own protection against any potential data loss, as well as that of your customers. As a new or modified installation of the software may pose a risk of data loss, you must ensure that customer data is secured by all possible means and carry out regular backups. The customer is solely responsible for their use of Avast software. Under no circumstances shall EU4CMS be held liable for any malfunction, software or hardware issue, or loss of data arising directly or indirectly from the use of Avast software.<\/p>

6.2 Warranty<\/strong>
The products distributed are covered by the manufacturer\u2019s warranty. No additional warranty is provided by AntivirusEdition.com.<\/p>

7. INTELLECTUAL PROPERTY<\/strong>
All materials provided (licences, visuals, text, trademarks) remain the exclusive property of their respective publishers. The Reseller does not acquire any ownership rights to the software.<\/p>

8. DATA PROTECTION AND PRIVACY<\/strong>
8.1 Personal data<\/strong>
Data collected as part of the programme is processed in accordance with the GDPR. The Reseller has the right to access, amend and delete their data.<\/p>

8.2 Confidentiality<\/strong>
The Reseller undertakes not to disclose any information relating to pricing, technical or commercial terms obtained through this partnership.<\/p>

9. TERMINATION AND ACCOUNT SUSPENSION<\/strong>
9.1 Termination by the Reseller<\/strong>
The reseller is required to notify EU4CMS of their intention to cease selling Avast, Norton, CCleaner and AVG software via their account on AntivirusEdition.com. In return, EU4CMS undertakes to close the reseller\u2019s account and to cease all marketing, promotional and technical communications with the reseller. The data stored in the reseller\u2019s account remains the property of EU4CMS.<\/p>

9.2 Suspension by AntivirusEdition.com<\/strong>
EU4CMS reserves the right to close a reseller\u2019s account at any time on the grounds of inappropriate behaviour on the part of the reseller, threats made against EU4CMS, or a breach of the terms and conditions.<\/p>

10. APPLICABLE LAW AND COMPETENT COURT<\/strong>
These General Terms and Conditions are governed by French law. The language of this contract is French. In the event of a dispute, the French courts shall have exclusive jurisdiction.<\/p>

11. CONCLUSION AND PERFORMANCE OF THE CONTRACT<\/strong>
You confirm that you have read and accepted the terms and conditions of the order, including, in particular, the information regarding the characteristics of the products or services ordered, the price, delivery, the terms of the user licence and these General Terms and Conditions, prior to placing your order. You confirm that you have full legal capacity to place an order and to accept these General Terms and Conditions. The contract is formed as soon as the reseller completes and confirms the customer registration form on the website and once EU4CMS has accepted and processed the order. Unless proven otherwise, the data recorded by EU4CMS constitutes proof of all transactions between EU4CMS and its customers.<\/p>
